1. Acceptance of Terms

By accessing or using ReplyWisely (the "Service"), operated by ChamsDel Online LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

ReplyWisely is a Chrome browser extension that runs on X.com (formerly Twitter) and pro.x.com (TweetDeck). It helps users prioritize which posts to reply to through five operational modes:

• Highlight Mode: Displays colored dot badges on tweets matching your custom keywords and keyword groups
• Track Mode: Tracks tweets you have replied to with green checkmarks — no scoring or keywords required
• Support Small Accounts Mode (<1k): Highlights tweets from accounts with fewer than 1,000 followers using a pink triangle badge; replied tweets show a pink checkmark
• Score Mode: Computes a multi-factor Visibility Potential Score (VPS) — covering AuthorReach, Freshness, Velocity, Opportunity, Relevance, and RiskPenalty — and displays colored triangle badges on tweets
• All Mode: Combines VPS scoring, keyword highlighting, and reply tracking simultaneously

The Service also includes:

• A web dashboard for account management, activation, and subscription management
• Scoring algorithms that analyze publicly visible tweet data entirely on your device
• Niche keyword profiles for organizing different sets of keywords
• Data synchronization that syncs your settings, follower data, and reply activity across devices
• Analytics and performance tracking features that show your reply activity and engagement metrics
• A Performance Review reminder system that prompts you to review engagement metrics on your replies after a configurable delay
• Historical data storage for follower counts, relationship data, and reply activity

By using the Service, you acknowledge and agree that certain data will be collected and stored on our servers as described in our Privacy Policy, including but not limited to extension settings, follower/following data, relationship information, reply activity data, and VPS training data.

3. Installation, Account Creation, and Recovery

You may install the ReplyWisely Chrome extension without registering an account. On first install, the extension generates a random per-install identifier (an "install ID") that is stored locally in your browser. The install ID is not personally identifying on its own.

An account on our system is created automatically when you complete a paid Stripe Checkout session, using the email address you supply at checkout. By completing checkout, you agree to:

• Provide an accurate, working email address at checkout
• Maintain the security of any sign-in links sent to that address
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activities that occur under your account

If you uninstall the extension, switch browsers, or clear browser data, your install ID is lost. You may recover access to your paid account on a new install via the recovery flow at /recover, which requires you to enter your account email and a 6-digit verification code we email to that address. Re-binding to a new install ID is rate-limited (currently to one rebind per 7 days) to deter abuse; we may grant exceptions on a case-by-case basis through support.

Users who registered prior to April 2026 under the previous email-OTP signup model retain access via their existing activation tokens; that legacy authentication path remains available at /login.

4. Free Use, Subscription, and Payments

The ReplyWisely Chrome extension is free to install and use up to a per-install reply quota set by us (the "free quota"). The current free quota is published on our marketing site and may be changed at any time at our discretion. Once you exceed the free quota, you must select a paid plan to continue using reply-tracking features. Browsing X.com with the extension installed but inactive remains free indefinitely.

By purchasing a subscription or one-time license, you agree that:

• The free quota counter is stored locally in your browser; uninstalling and reinstalling the extension may reset it. We do not represent that the free quota will be enforced across re-installs.
• All fees are non-refundable unless otherwise stated or required by law
• We may modify pricing or the free quota with reasonable notice (existing subscriptions will continue at their current rate until renewal)
• Your subscription or lifetime license grants a personal, non-transferable license to use the Service
• Your install ID and (if applicable) activation token are tied to your account and may not be shared or resold
• Plans include Monthly Access (recurring), Annual Subscription (recurring), and Lifetime Access (one-time payment) as selected during purchase
• Monthly and Annual subscriptions will automatically renew unless cancelled before the renewal date
• You may cancel your subscription at any time via Stripe; access will continue until the end of your current billing period

5. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose
• Attempt to reverse engineer, decompile, or disassemble the extension
• Share, resell, or redistribute your activation token or account access
• Use automated systems to abuse or overload the Service or our servers
• Violate X.com's Terms of Service while using ReplyWisely
• Use the Service to spam, harass, or engage in abusive behavior on X.com or pro.x.com
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems
• Use the Service to collect or harvest data from other users without their consent

You acknowledge that by using the Service, certain data about your usage — including follower data, relationship information, reply activity, and VPS training data — will be collected and stored as described in our Privacy Policy. You consent to this data collection and use as outlined in the Privacy Policy.

6. Intellectual Property

The Service, including all code, design, features, and content, is owned by ChamsDel Online LLC and is protected by copyright, trademark, and other intellectual property laws. Your use of the Service does not grant you any ownership rights to the intellectual property.

You retain ownership of any data you provide to the Service. However, by using the Service, you grant us a license to use, store, process, and analyze your data (including aggregated and anonymized data) as necessary to provide, improve, and operate the Service, including for VPS scoring model training and analytics purposes as described in our Privacy Policy.

7. Third-Party Services

ReplyWisely operates on X.com and pro.x.com (TweetDeck), third-party platforms. We are not affiliated with, endorsed by, or sponsored by X Corp. Your use of X.com and pro.x.com is subject to X Corp's own terms of service. We are not responsible for any changes to these platforms that may affect the functionality of ReplyWisely.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT:

• The Service will be uninterrupted or error-free
• The VPS scoring algorithms will always produce accurate results
• Using the Service will increase your engagement or followers on X.com
• The Service will remain compatible with future changes to X.com or pro.x.com
• Data synchronization will always be complete or error-free
• Analytics, performance metrics, or Performance Review data will be 100% accurate
• All features will be available at all times

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We are not responsible for any loss of data that may occur due to technical issues, service interruptions, or changes to the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAMSDEL ONLINE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless ChamsDel Online LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of any fees paid.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
