1. Acceptance of Terms

By accessing or using TwitPick (the "Service"), operated by ChamsDel Online LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service.

2. Description of Service

TwitPick is a Chrome browser extension that displays visibility scores on posts within X.com (formerly Twitter) to help users prioritize which posts to reply to. The Service includes:

• A Chrome extension that runs locally in your browser and displays visibility scores on tweets
• A web dashboard for account management, activation, and subscription management
• Scoring algorithms that analyze publicly visible tweet data
• Data synchronization features that sync your settings, follower data, and reply activity across devices
• Analytics and performance tracking features that show your reply activity and engagement metrics
• Historical data storage for follower counts, relationship data, and reply activity

By using the Service, you acknowledge and agree that certain data will be collected and stored on our servers as described in our Privacy Policy, including but not limited to extension settings, follower/following data, relationship information, and reply activity data.

3. Account Registration

To use certain features of the Service, you must create an account. You agree to:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access to your account
• Be responsible for all activities that occur under your account

4. Subscription and Payments

Access to TwitPick requires a valid subscription or activation token. By purchasing a subscription, you agree that:

• All fees are non-refundable unless otherwise stated or required by law
• We may modify pricing with reasonable notice (existing subscriptions will continue at their current rate until renewal)
• Your subscription grants a personal, non-transferable license to use the Service
• Activation tokens are tied to your account and may not be shared or resold
• Subscriptions may be monthly recurring or lifetime (one-time payment) as selected during purchase
• Monthly subscriptions will automatically renew unless cancelled before the renewal date
• You may cancel your subscription at any time, and access will continue until the end of your current billing period
• Refunds, if applicable, are subject to our refund policy and applicable laws

5. Acceptable Use

You agree NOT to:

• Use the Service for any unlawful purpose
• Attempt to reverse engineer, decompile, or disassemble the extension
• Share, resell, or redistribute your activation token or account access
• Use automated systems to abuse or overload the Service or our servers
• Violate X.com's Terms of Service while using TwitPick
• Use the Service to spam, harass, or engage in abusive behavior on X.com
• Interfere with or disrupt the Service or servers connected to the Service
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems
• Use the Service to collect or harvest data from other users without their consent

You acknowledge that by using the Service, certain data about your usage, including follower data, relationship information, and reply activity, will be collected and stored as described in our Privacy Policy. You consent to this data collection and use as outlined in the Privacy Policy.

6. Intellectual Property

The Service, including all code, design, features, and content, is owned by ChamsDel Online LLC and is protected by copyright, trademark, and other intellectual property laws. Your use of the Service does not grant you any ownership rights to the intellectual property.

You retain ownership of any data you provide to the Service. However, by using the Service, you grant us a license to use, store, process, and analyze your data (including aggregated and anonymized data) as necessary to provide, improve, and operate the Service, including for machine learning model training and analytics purposes as described in our Privacy Policy.

7. Third-Party Services

TwitPick operates on X.com, a third-party platform. We are not affiliated with, endorsed by, or sponsored by X Corp. Your use of X.com is subject to their terms of service. We are not responsible for any changes to X.com that may affect the functionality of TwitPick.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT GUARANTEE THAT:

• The Service will be uninterrupted or error-free
• The scoring algorithms will always produce accurate results
• Using the Service will increase your engagement or followers on X.com
• The Service will remain compatible with future changes to X.com
• Data synchronization will always be complete or error-free
• Analytics and performance metrics will be 100% accurate
• All features will be available at all times

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We are not responsible for any loss of data that may occur due to technical issues, service interruptions, or changes to the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHAMSDEL ONLINE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless ChamsDel Online LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

You may terminate your account at any time by contacting us. Termination does not entitle you to a refund of any fees paid.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without regard to its conflict of law provisions.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
